Accredited Investor (AI)
Individual with net worth >$1M (excl. primary residence) or income >$200K individual / $300K joint. Required for most private fund participation under Reg D.
Qualified Purchaser (QP)
Higher threshold than AI: $5M in investments (individuals) or $25M (institutions). Required for 3(c)(7) funds. Unlocks broader investor pool and fewer restrictions.
ERISA / 25% Test
Employee Retirement Income Security Act. The '25% Test' requires that benefit plan investors (pension funds, IRAs) hold <25% of any equity class or the fund becomes an 'ERISA plan asset fund,' triggering heavy fiduciary obligations.
KYC / AML
Know Your Customer / Anti-Money Laundering. Regulatory requirement to verify investor identity and screen against OFAC, FinCEN, and global watchlists before accepting capital.
Subscription Agreement (Sub Doc)
Legal contract between investor and fund. Captures investor identity, commitment amount, accreditation status, tax info, and representations. The primary document in the onboarding workflow.
Side Letter
Bilateral agreement between a specific LP and the GP granting special terms (fee discounts, liquidity rights, MFN clauses, reporting enhancements). Must be tracked and enforced separately from the main fund docs.
LP / GP
Limited Partner (investor) / General Partner (fund manager). LPs provide capital; GP manages investments and operations. LP liability is limited to their committed capital.
Capital Call
GP request for LPs to contribute a portion of their committed capital. Typically 10-30 day notice period. Failure to fund is a default event.
Drawdown / Funded Capital
The portion of an LP's total commitment that has been called and transferred to the fund. Distinct from total commitment.
NAV (Net Asset Value)
Current fair market value of the fund's assets minus liabilities. Used to calculate LP ownership percentage and for secondary market transactions.
W-8 / W-9
IRS tax forms. W-9 for US persons (captures SSN/EIN). W-8BEN or W-8BEN-E for non-US persons/entities. Required simultaneously with sub docs β not as a separate step.
Good Order
Wirehouse/broker-dealer confirmation that all subscription documents are complete, signed, and properly submitted. A good order check is required before processing a subscription.
Comfort Letter
Letter from a wirehouse/distributor confirming they have satisfied KYC requirements per their distribution agreement, relieving the fund from duplicating that verification.
MFN (Most Favored Nation)
Side letter clause requiring the fund to offer an LP the best terms given to any other LP. Creates obligation to notify and apply superior terms automatically.
Fund of Funds (FoF)
Investment vehicle that allocates capital across multiple underlying funds. May qualify as QP at entity level even if underlying investors are not individually QPs.
3(c)(1) vs 3(c)(7)
Exemptions from Investment Company Act. 3(c)(1): max 100 beneficial owners, all must be Accredited Investors. 3(c)(7): unlimited investors but all must be Qualified Purchasers. Most institutional funds use 3(c)(7).
Reg D / 506(b) / 506(c)
SEC exemptions for private placements. 506(b): up to 35 non-accredited sophisticated investors, no general solicitation. 506(c): unlimited accredited investors, general solicitation allowed but requires verified accreditation.
